1. Service Description
Smart Sequence Tech (智序資訊工作室, "we") provides the ForgeHelm code governance and compliance platform, including the SaaS management platform, the analysis engine (Agent) software, and related modules (compliance reports, SBOM, dashboard, risk questionnaire, AI assistant, tech stack migration, data quality).
2. Accounts and Responsibilities
- You must provide accurate and complete registration information
- You are responsible for account security; accounts must not be shared
- Abuse of the service (attacks, spam, excessive automated requests) is prohibited
- You are fully responsible for data you upload or submit
3. Subscriptions, Billing, and Refunds
- ForgeHelm is sold as a per-seat annual subscription (Core, Professional, Enterprise): annual fee = monthly seat rate × number of seats × 12 + annual platform fee (Professional / Enterprise)
- Customers in Taiwan pay through ECPay; customers outside Taiwan pay through an international merchant of record, which collects payment, issues the receipt and handles local taxes as the seller; enterprise procurement may use contracts, purchase orders, or wire transfer
- Seats may be added during the contract term and are prorated for the remaining period; seat reductions take effect at the next renewal. Where monthly billing is offered, seat fees are typically about 20% higher than annual billing
- Listed prices exclude tax; Taiwan customers are charged 5% VAT in addition and receive a government uniform invoice (seller's tax ID: 60295398)
- Annual subscriptions are generally non-refundable once activated unless required by law or agreed in writing; service remains available through the end of the subscription term
4. Intellectual Property
- Compliance reports, SBOMs, and dashboard data generated from your repositories by the analysis engine are owned by you, and you may freely use, distribute, and provide them to third parties
- ForgeHelm platform software, UI, and analysis algorithms are owned by Smart Sequence Tech
- You may not copy, modify, or distribute any part of the service without authorization
5. Changes and Termination
- We may modify, suspend, or terminate the service
- Material changes will be notified by email at least 30 days in advance
- If we discontinue the service, we will give advance notice and help you export your data; your own data (including reports and analysis results) can be exported from the platform as JSON/ZIP on any plan
6. Limitation of Liability
- The service is provided "as is" without guarantee of error-free or uninterrupted operation
- Reports are for reference only; decisions remain your responsibility
- Except in cases of willful misconduct or gross negligence, we are not liable for indirect losses, lost profits, or business interruption arising from use of or inability to use the service
- For all other damages, our total liability is capped at the service fees you paid in the 12 months preceding the event giving rise to the claim; for enterprise or government customers purchasing under a written contract, that contract's warranty, liability, and termination terms take precedence over these terms
7. Governing Law
- These terms are governed by the laws of the Republic of China (Taiwan)
- Disputes shall be subject to the exclusive jurisdiction of the Taipei District Court as the court of first instance
